LICENCE CONDITIONS

USE OF THE ENCLOSED SOFTWARE INDICATES YOUR ASSENT TO THE FOLLOWING LICENCE CONDITIONS.

1. COPYRIGHT OWNERSHIP

All copyrights to NoteExpress are exclusively owned by AegeanSoft Corporation (hereinafter referred to as the “Licensor”).
This licence applies to NoteExpress versions 1.0, 2.0, 3.0, 4.0, and all subsequent updates, patches, and new versions provided by the Licensor.

2. TRIAL VERSION TERMS

NoteExpress is distributed under a “try before buy” model, meaning:

  • Trial Period: Users may use the software for a 14-day free trial period by registering an account, starting from the registration date
  • Account Association: The trial period is linked to the registered account. Reinstalling the software does not reset the trial period
  • Continued Use: After the 14-day trial, users may continue using the Personal Free Version. To access full functionality, individual users must purchase the Personal Registered Version/VIP Version as specified in Article 4, and institutional users must acquire the Group Version licence

3. COMMERCIAL TRANSFER RESTRICTIONS

The registered NoteExpress software may not be:

  • Rented, leased, or sublicensed to any third party
  • Used in time-sharing services or service agency operations without the Licensor’s prior written consent

4. REGISTRATION AND AUTHORIZATION REQUIREMENTS

Authorization procedures differ by user type as follows:

4.1 GROUP VERSION (INSTITUTIONAL USERS)

  • Authorization Scope: Group Version authorization applies to terminal devices used by official members of the institution. Access control methods, which may include Internet Protocol (IP) based restrictions, are determined by mutual agreement between the institution and the Licensor. Software use must comply with jointly defined technical conditions and access rules
  • Eligible Users: Use is restricted to official members of the institution, including but not limited to active employees (full-time and part-time within the official employment framework), currently enrolled students (full-time and part-time), and registered affiliates recognized by the institution. Non-members are prohibited from accessing or using the software by any means
  • Purchase Process: Institutions must purchase Group Version authorization through the Licensor’s enterprise service channel. During the purchase, both parties shall confirm the scope of eligible users (which may or may not be related to specific IP setups) and the authorization period
  • Access Rules: Official members of the institution may directly download and use the software. Specific access methods (whether involving IP configurations or other authentication mechanisms) shall be governed by the authorization rules formulated by the institution in line with the overall agreement with the Licensor

4.2 PERSONAL VERSION

  • Personal Free Version: No registration required; users may permanently use basic functions free of charge, with functionality as defined in the software
  • Personal Registered Version:
    • Purchase a registration code via the Licensor’s official channel and register with a unique email address
    • Each registration code is limited to 2 personal devices, granting lifetime access to all paid version features
    • Separate email addresses are required for generating individual registration codes when purchasing multiple licences
  • Personal Very Important Person (VIP) Version:
    • Acquire VIP privileges for the registered account on a monthly/quarterly/semi-annual basis (terms as selected at purchase)
    • Full functionality is available during the subscription period, reverting to Free Version features upon expiration

5. DISCLAIMER OF WARRANTIES

  • AS IS PROVISION: The software is provided “as is” without any express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, or non-infringement
  • User Responsibility: You assume full responsibility for:
    • The quality, performance, and outcomes of software use
    • All costs associated with software maintenance, repair, or correction

6. LIMITATION OF LIABILITY

In no event shall the Licensor, its affiliates, or contributors be liable for any damages, including but not limited to:

  • Direct, indirect, incidental, special, or consequential damages
  • Loss of data, profits, business information, or business interruption
  • Malfunctions due to incompatibility with third-party software or systems, even if advised of such possibilities

7. PROHIBITED TECHNICAL ACTIONS

The following actions are strictly prohibited:

  • (a) Reverse-engineering, decompiling, or disassembling the software (except as required by law)
  • (b) Modifying, altering, or tampering with any software components, including code, algorithms, or user interface elements
  • (c) Repackaging, rebranding, or creating derivative works of the software or its components
  • (d) Distributing the software (in any form) via public archives, peer-to-peer networks, or physical media (Compact Disc Read-Only Memory [CD-ROM], Universal Serial Bus [USB], etc.) without explicit written authorization
  • (e) Using source code components (if provided) to develop competing products or technologies

8. ACCEPTANCE OF TERMS

Installing or using NoteExpress constitutes your irrevocable acceptance of these licence conditions

9. LICENCE TERMINATION

  • Automatic Termination: The licence terminates immediately without notice in the event of any breach of these conditions
  • Voluntary Termination: If you disagree with these terms, uninstall NoteExpress and delete all copies from your system

10. AGREEMENT UPDATES

  • Minor Changes: The Licensor may update these conditions (e.g., for clarity or legal compliance), with updates effective upon posting on the Licensor’s website
  • Material Changes: For significant modifications (e.g., fee changes, scope of rights), the Licensor will notify you via email or in-app messages. Continued use after notification constitutes acceptance of revised terms
  • Version Control: Each version of these conditions will be dated and archived on the Licensor’s website, governing your rights and obligations at the time of installation or last update acceptance

11. GOVERNING LAW AND JURISDICTION

This licence is governed by the laws of the People’s Republic of China. Any dispute arising herefrom shall be subject to the exclusive jurisdiction of the People’s Court of Chaoyang District, Beijing
